Praxora Ads — Acceptable Use Policy

This Acceptable Use Policy (the "AUP") describes how the Praxora Ads service (the "Service") may and may not be used. It is part of, and incorporated by reference into, the Praxora Ads Terms of Service. Violating this AUP is a material breach of those Terms and may result in suspension or termination of your account without notice or refund.
We may update this AUP at any time. The current version always applies.
1. General principles
You agree to use the Service only:
- For its intended purpose — analyzing and managing your own legitimate Shopify store's advertising
- In compliance with all applicable laws (your country's, ours, and the countries where your customers are)
- In compliance with the terms of every third-party platform you connect (Shopify, Meta / Facebook / Instagram, TikTok, and any others we add)
You are solely responsible for everything you do with the Service, including the ads you run, the creative you publish, the audiences you target, and the campaigns Director adjusts on your behalf.
2. Prohibited content and ad categories
You may not use the Service to advertise, manage, or facilitate the sale or promotion of:
- Illegal goods or services in any jurisdiction where the campaign is delivered
- Adult sexual content, pornography, escort services, or any 18+ category that is not permitted by Meta's, TikTok's, or Shopify's content policies
- Recreational drugs, controlled substances, or drug paraphernalia (other than products lawfully sold under all applicable jurisdictions, e.g., licensed CBD where permitted)
- Tobacco, vaping, or e-cigarette products marketed in regions where their advertising is restricted
- Firearms, ammunition, weapons, or explosives
- Gambling, online casinos, sports-betting services, or lotteries without proper local licensing — and never via Pro-tier autonomous Content Studio publishing
- Multi-level-marketing schemes, pyramid structures, or get-rich-quick programs
- Counterfeit goods, replicas, or items that infringe trademarks or copyrights
- Stolen, hacked, or fraudulent products
- Content that exploits, sexualizes, or endangers minors
- Content that incites violence, hatred, or discrimination based on race, ethnicity, national origin, religion, disability, sex, sexual orientation, or gender identity
- Misinformation about elections, vaccines, or public-health emergencies
- Misleading health claims or unproven medical treatments
- Cryptocurrency, ICOs, NFTs, or related financial products unless properly licensed in every jurisdiction the ad targets and explicitly permitted by Meta and TikTok
- Political ads without proper authorization on each platform — and never via Pro-tier autonomous Content Studio publishing
The above is not exhaustive. If a category is prohibited by Meta, TikTok, or Shopify, it is prohibited from the Service.
3. Prohibited conduct
You may not, and may not allow any other person to:
- Bypass or attempt to bypass any security control, rate limit, plan gate, kill switch, or other operational safeguard of the Service
- Reverse-engineer, decompile, or disassemble the Service or any part of its software or APIs
- Scrape, harvest, or bulk-extract data from the Service (including the daily briefing email content) beyond what's allowed by an authenticated API integration we explicitly provide
- Resell, rebrand, or redistribute the Service or its outputs to any third party
- Share account credentials with anyone outside your business; one Shopify store = one merchant account
- Use the Service to compete with us by training or building a competing AI advertising tool
- Send spam, phishing messages, malware, or other abusive content through Pro-tier features (Content Studio publishing of campaigns containing malicious links, etc.)
- Run ads that link to malware, scams, or phishing sites
- Manipulate ad-platform algorithms in ways those platforms would consider abuse (cloaking, fake engagement, etc.) — we will not knowingly help with these and will remove offending ads from Director's reach
- Use the Service in connection with any sanctioned country, person, or entity as defined under EU, US, UK, or applicable sanctions regimes
- Misrepresent ownership of the Shopify store, ad accounts, or creative assets you connect or upload
- Upload to Content Studio any creative asset you do not own or are not licensed to publish
- Configure Director guardrails in a way intended to evade spending limits, fraud detection, or platform terms
4. Pro tier — additional rules for autonomous features
The Pro tier's Director and Content Studio features take action on third-party platforms on your behalf. The following additional rules apply when you enable either feature:
- You remain the legal advertiser on every campaign Praxora touches. You are responsible for compliance with every applicable advertising law, platform policy, and disclosure requirement.
- You must keep your kill switch accessible and you must use it if Director or Content Studio behavior becomes inconsistent with your business intent or with platform policies.
- You may not enable Director or Content Studio for any prohibited category in section 2, even if your underlying Shopify store sells such goods to other channels.
- You may not configure guardrails so loose that a single bad day could materially harm your business — you set the daily cap, ROAS floor, and per-platform floor, and we provide no warranty about the outcome regardless of how you set them.
- If a third-party platform suspends your account because of an autonomous action, that suspension is between you and the platform; we will assist with audit logs but bear no responsibility.
5. Suspension and enforcement
We may suspend or terminate your access to the Service immediately and without prior notice if we determine, in our reasonable discretion, that:
- You have breached this AUP
- Your continued use poses a risk to other merchants, to us, or to a third-party platform
- A third-party platform requires us to suspend your access
- A regulator or court orders us to act
- Your account has been compromised
We may also: pause Director, freeze Content Studio publishes, remove specific creative, or restrict access to specific features short of full suspension. We are not required to give a refund following any suspension or termination for AUP violation.
Appeals. If you believe your account was suspended in error, you may appeal in writing to appeals@praxora.io within 30 days of the suspension. Include your shop domain, the date of the suspension, and a brief description of why you believe the action was incorrect. We aim to review and respond within 14 days. An appeal is not a guarantee of reinstatement; the outcome is at our reasonable discretion.
6. Reporting abuse
If you become aware of misuse of the Service — for example, a competitor running ads that violate this AUP through Praxora — you may report it to abuse@praxora.io. We investigate every report we receive but we do not commit to a specific response time or outcome.
